Manulife Securities Online Customer Portal Terms and Conditions

By accessing the Manulife Securities online customer portal site (the "Portal"), you acknowledge these terms and conditions and agree to be bound by them. If you do not agree to these terms and conditions, please exit the Portal. We reserve the right, in our sole discretion, to revise these terms and conditions at any time without notice to you. The revised terms and conditions will be binding from the time they are posted on the Portal. You agree to review these posted terms and conditions from time to time and that, by your continued use of this Portal, you are bound by any revised version of the terms and conditions. The terms "Manulife Securities", "we" and "our" refer collectively to Manulife Securities Incorporated (“MSI”), Manulife Securities Investments Services Inc. (“MSISI”) and Manulife Securities Insurance Inc. (“MSII”), unless otherwise indicated. The terms “you” and “your” refer to the account holder of an individual or joint account, or an authorized individual indicated in the account opening documentation, or subsequent documentation, for an entity account.

This Portal provides information on the products and services you have with Manulife Securities. All products, services and information provided on this Portal are subject to the terms of the applicable agreement(s) governing their use. The Portal displays the real-time value of your investments based on the prices currently available. Values are in Canadian dollars unless otherwise indicated. This is not an official account statement. The information on the Portal is provided as a supplementary service only. Please refer to your official Manulife Securities account statements and third-party account statements, as applicable, for information about your account holdings, transactions and the nature and limits of any investor compensation fund that may apply to your account.

2. Copyright:

Information on the Portal, including but not limited to text, graphics, images, downloadable content, and links to other internet resources, (the "Portal Information") is protected under the copyright laws of Canada and other countries. Certain items of the Portal Information may be the copyright of other third parties. Other than for personal use, the Portal Information may not be copied, displayed, communicated, distributed, reproduced or republished, in any form, without advance express written consent.

3. Information on Portal is General Only:

The Portal Information is general only. It is not intended as specific investment, financial, legal or tax advice and you should not rely on it as such. The Portal Information does not constitute an offer to sell or a solicitation. We may change the Portal Information at any time.

4. Information Provided "As Is":

This Portal and the Portal Information is provided "as is". Manulife Securities does not warrant the accuracy, adequacy, timeliness, or completeness of the Portal or Portal Information and disclaims liability for any error or omissions. No warranty or condition of any kind (implied, express or statutory) is given in the Portal or Portal Information.

5. No Liability for Use of Portal:

Manulife Securities will not be liable for any damages, losses or expenses (including direct, indirect, legal, special, incidental, consequential or punitive damages) arising from the use or inability to use this Portal or the Portal Information, or an error, omission, interruption, defect, delay, computer virus, system failure, loss of date or otherwise, even if Manulife Securities or its representatives are advised of the possibility of such damages or losses.

6. Security of Login Information:

You understand that the Internet is not a secure medium where privacy can be ensured and that complete security and confidentiality over the Internet is not possible at this time. Your confidential use of the Portal cannot be guaranteed, and your use of the Portal may be subject to access by, or disclosure to, other persons. You are solely responsible for maintaining the security of your user identifier (user ID) and password and ensuring that you are the only person using them. You agree to not disclose your user ID and password to any other person. Manulife Securities is not responsible for the unauthorized use of the Portal by any other person. You agree to notify us immediately upon becoming aware of any unauthorized or suspected unauthorized use of your user ID and/or password.

7. Account Types:

Manulife Securities offers individual, joint and entity (non-individual) accounts in Nominee Name and Client Name and has also entered into introducing / carrying dealer arrangements. If you have been identified as an authorized individual for an entity account, the account will appear on the Portal. If there is an entity account showing in error on the Portal, or if an entity account is missing, please contact a Manulife Securities call centre representative at 1-800-991-2121, or email manulifesecurities@manulife.com. If you have an introducing / carrying dealer account, the Portal will show the cash balance and cash transactions in your Manulife Securities account. Please refer to your official account statement from the carrying dealer showing your transaction activity and the cash and investments that you hold in that account.

8. Hyperlinks & Non-Manulife Securities Sites:

Hyperlinks to other internet resources or websites are used at your own risk. Manulife Securities makes no representations whatsoever about other web sites which you may access through the Portal. Non-Manulife Securities websites are not subject to our privacy policy or security standards. Links to non-Manulife Securities websites do not mean that Manulife Securities endorses or accepts any responsibility for such websites or their content.

9. Applicable Law:

Except where prohibited by the laws of your jurisdiction, the Portal will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
